The Extraordinary General Meeting of Shareholders of KN (AB Klaipėdos Nafta), the operator of oil and liquefied natural gas (LNG) terminals, held on 20 October, approved by the majority of votes of the shareholders the following members of the company's Supervisory Council: Mantas Šukevičius, Robertas Vyšniauskas and Dovilė Kavaliauskienė. The members of the Supervisory Council were elected for a four-year term.
The Supervisory Council approves the company's strategy and monitors its implementation, is responsible for overseeing transactions with third parties, elects and dismisses members of the Board of the Company, and supervises its work.
Mantas Šukevičius, who was elected to the Supervisory Council of KN, currently serves as an independent member and Chairman of the Board of AB Detonas, works as an independent member of the Board of VĮ Oro navigacija, works in the Board of the real estate investment management company Victory Funds, and is a member of the Supervisory Board of JSCB Qishloq Qurilish Bank. Mr. Šukevičius has international experience in the financial sector – banks, credit companies.
Robertas Vyšniauskas is currently the General manager of UAB Valstybės investicinis kapitalas, an independent member and Chairman of the Board, as well as member of the Audit Committee of UAB EPSO-G, independent member of the Board of UAB Vilniaus vystymo kompanija. Mr. Vyšniauskas is a corporate governance, M&A consultant.
Dovilė Kavaliauskienė is an adviser to the Law and Personnel Group of the Ministry of Energy of the Republic of Lithuania. In addition to legal duties, she is responsible for coordinating matters related to state-owned enterprises (SOEs).
The selection and nomination of candidates for the independent members of the Supervisory Council of KN was carried out by the Ministry of Energy of the Republic of Lithuania, KN's largest shareholder with 72.47% of the shares. Additional candidates were also nominated by the shareholder of KN, UAB koncernas Achemos grupė, holding 10.43% of the shares.
